Terms of Service

Effective 3 November 2026

These terms govern your use of Kalp, a service that turns your product photos, specifications and other materials into marketplace listing content. Please read them carefully. By creating an account or using the Service, you agree to them.

1. About these terms

These Terms of Service (the “Terms”) are an agreement between you and Kalp Technologies Pte. Ltd., a company incorporated in Singapore (“Kalp”, “we”, “us”). They cover our website, web application, APIs and related services (together, the “Service”).

If you use the Service on behalf of a company or other organisation, you confirm you have authority to accept these Terms for it, and “you” means that organisation. If you have signed a separate written agreement with us, that agreement prevails where it conflicts with these Terms.

Our Privacy Policy explains how we handle personal data and forms part of these Terms.

2. Eligibility and accounts

The Service is for businesses and professionals, such as brands, sellers and agencies. You must be at least 18 years old and able to enter into a binding contract to use it. It is not intended for personal, household or consumer use.

  • Give us accurate account information and keep it up to date.
  • Keep your login credentials confidential. You are responsible for activity under your account.
  • You may invite team members to your workspace. You are responsible for their use of the Service and for removing access when they no longer need it.
  • Tell us promptly at legal@getkalp.com if you suspect unauthorised access to your account.

3. The Service

Kalp uses a combination of software rules and artificial intelligence (“AI”) models to analyse the materials you provide, build a structured record of your product, ask you questions where information is missing or inconsistent, and generate listing content such as titles, bullet points, descriptions, images and enhanced brand content (for example, Amazon A+ modules).

The Service is designed so that a person reviews and approves content before it is used. Some features rely on AI models operated by third-party providers. We continually improve the Service and may add, change or remove features. If we remove a feature that is material to a paid plan, we will give you reasonable notice.

4. Your content and outputs

You own your content. “Inputs” are the photos, documents, product information, website links, answers and other materials you submit. “Outputs” are the listing content the Service generates for you from your Inputs. As between you and us, you retain all rights in your Inputs and, to the extent permitted by law, you own the Outputs. We assign to you any rights we may have in the Outputs.

Licence to us. You grant Kalp a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, modify and display your Inputs and Outputs only as needed to provide, secure and support the Service for you, including by sending them to our service providers for that purpose.

Service improvement. We may create aggregated and de-identified data from your use of the Service, such as usage statistics, approval and edit rates, error and rejection patterns, and quality metrics, and use it to operate, analyse and improve the Service. This data does not identify you, your brand or your products, and does not include your photos, documents or listing text. We do not use your Inputs or Outputs to train AI models, and we do not sell them.

Similar outputs. AI models can produce similar content for different users. Outputs generated for other customers are not your Outputs, even if they resemble yours.

5. Your responsibility for what you publish

Outputs are drafts produced with AI assistance. They can contain errors, omissions or claims that your product cannot support. You are solely responsible for reviewing, editing and approving every Output before you publish or otherwise use it. In particular, you are responsible for:

  • Having all rights, licences and consents needed for your Inputs, including photographs, logos, trademarks and any people shown in images.
  • The accuracy of product information and claims, including dimensions, materials, safety, certifications, age grading, country of origin and any health or performance claims.
  • Compliance with the policies of every marketplace or channel where you publish, and with applicable laws, including consumer protection, advertising, product safety and labelling laws.

Compliance checks in the Service are aids, not guarantees. A listing that passes our checks may still be rejected, suppressed or removed by a marketplace.

6. Acceptable use

You must not use the Service to:

  • Infringe or misappropriate anyone’s intellectual property, privacy or other rights.
  • Create false, misleading or deceptive content, including fake reviews, endorsements, certifications or claims about a product.
  • Upload unlawful, harmful, obscene or defamatory material, or malware.
  • Submit sensitive personal data, such as health, financial or government identity data, about any person.
  • Probe, scan or test the vulnerability of the Service, bypass usage limits or security measures, or access it by automated means other than our published APIs.
  • Copy, resell or sublicense the Service, or use it to build a competing product, except as we agree in writing.
  • Reverse engineer the Service, except to the extent the law expressly permits.

7. Marketplaces and third-party services

Kalp is an independent service. We are not affiliated with, endorsed by or sponsored by Amazon or any other marketplace. Marketplace names are trademarks of their owners and are used only to describe compatibility.

The Service may connect to or rely on third-party services, such as marketplaces, sign-in providers and AI model providers. Your use of a third-party service is governed by that provider’s own terms. We are not responsible for third-party services, for marketplace decisions about your listings, or for changes a marketplace makes to its rules or interfaces.

8. Trials and fees

We may offer free trials or free usage limits. A trial lasts for the period shown when you sign up, and we may change or end free offerings at any time.

Paid plans are charged at the prices and on the billing terms shown at the time of purchase or in your order form. Unless stated otherwise, fees are in US dollars, exclude taxes, and are non-refundable except where required by law. You are responsible for applicable taxes. If a payment is overdue, we may suspend paid features after giving you notice. We will give you at least 30 days’ notice of any price change, which takes effect from your next billing period.

9. Confidentiality

We treat your Inputs, Outputs and non-public business information as confidential. We use them only to provide the Service and disclose them only to our personnel and service providers who need them for that purpose and are bound by confidentiality obligations, or where the law requires. You must likewise keep confidential any non-public information about the Service that we share with you, such as pricing under an order form or pre-release features.

10. Our intellectual property and feedback

We and our licensors own the Service, including its software, models, prompts, templates, rules, design and documentation, and all improvements to them. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription or trial. They do not transfer any of our intellectual property to you.

If you send us suggestions or feedback, we may use them without restriction or obligation to you.

11. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if your use creates a security or legal risk for us or others, or if we discontinue the Service. Where reasonable, we will notify you first and give you a chance to fix the issue.

When your account ends, your right to use the Service stops. For 30 days afterwards you may ask us to export your Outputs, after which we will delete your Inputs and Outputs as described in our Privacy Policy. Sections that by their nature should survive termination, including those on ownership, confidentiality, disclaimers, liability, indemnity and governing law, will survive.

12. Disclaimers

To the fullest extent permitted by law, the Service and all Outputs are provided “as is” and “as available”. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that Outputs will be accurate or complete, or that any listing will be approved by a marketplace or achieve any particular sales, ranking or conversion result.

13. Limitation of liability

To the fullest extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sales, goodwill or data, however caused, even if advised of the possibility.

Our total liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) US$100.

Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited under applicable law.

14. Indemnity

You will defend and indemnify Kalp and its officers, employees and agents against any third-party claim, and related losses and costs (including reasonable legal fees), arising from your Inputs, your publication or use of Outputs, or your breach of these Terms or applicable law.

15. Governing law and disputes

These Terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service. Before starting proceedings, each party will first try in good faith to resolve the dispute by contacting the other in writing for at least 30 days. Either party may seek urgent injunctive relief in any competent court.

16. Changes to these terms

We may update these Terms from time to time. We will post the updated version on this page and change the effective date above. If a change materially affects your rights, we will give you at least 30 days’ notice by email or in the Service before it takes effect. If you continue to use the Service after the change takes effect, you accept the updated Terms. If you do not agree, you may close your account.

17. General

  • You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets, or to an affiliate.
  • Neither party is liable for delays or failures caused by events beyond its reasonable control, such as outages of networks, hosting or AI providers.
  • If any provision is found unenforceable, the rest of these Terms remains in effect. A failure to enforce a provision is not a waiver.
  • These Terms are the entire agreement between us about the Service and replace any prior agreement on the same subject. No third party has rights under them, including under the Contracts (Rights of Third Parties) Act 2001 of Singapore.
  • We may send you notices by email to your account address or through the Service.
